KELO LEGAL

Terms of Service

Version 1.2-draft · Effective September 24, 2026 · Last updated October 8, 2026

Working draft prepared for review by Kelo's legal counsel before public launch.

1. Agreement to these Terms

These Terms of Service govern your use of the Kelo Care mobile application, agency web dashboard, and related services (together, Kelo). By creating an account, accepting these Terms, or using Kelo, you enter an agreement with the operator of Kelo Care. If you use Kelo for an agency or another organization, you confirm that you are authorized to accept these Terms for that organization.

2. Kelo's service

Kelo is a mobile and web-based administrative care-coordination service for professional caregivers, medical professionals, family caregivers, clients or care recipients, family members, and agency administrators. It assists authorized users in organizing visits, medication schedules, routines, reminders, care tasks, handoffs, incidents, feedback, and reports. Features may differ by role, plan, device, region, or release. Kelo does not provide medical advice, diagnosis, treatment recommendations, clinical supervision, or instructions for performing medical procedures. Kelo is not a medical device, emergency service, health-care provider, diagnostic tool, or clinical decision-maker.

3. Eligibility and your responsibilities

You must be at least 18 years old and legally able to agree to these Terms. You are responsible for your credentials, device security, accurate records, lawful instructions, and all authority and consents needed to enter or share information about clients, relatives, staff, or contacts. You must not use Kelo for unlawful, abusive, deceptive, discriminatory, or unsafe activity; make clinical decisions without qualified judgment; falsify care records; access another person's account or data without permission; interfere with security or availability; reverse engineer Kelo except where law permits; introduce malicious code; or use Kelo to train or build a competing service.

4. Critical care disclaimer

Kelo may help medical professionals and caregivers organize their work, but it does not direct, supervise, approve, or perform medical care. All diagnoses, treatment decisions, medication decisions, clinical assessments, and medical procedures must be made or performed by appropriately qualified and authorized people using their independent professional judgment. You must not rely on Kelo as the sole safety mechanism for medication, visits, emergencies, staffing, or other critical tasks. Notifications can be delayed or fail because of device settings, connectivity, platform services, or maintenance. Maintain appropriate backup procedures, follow applicable care plans and professional duties, and contact local emergency services or qualified professionals for urgent needs.

5. Subscriptions and billing

Individual caregivers may purchase Kelo Care Plus for the price and billing period displayed before purchase, currently US $44.99 per year or US $6.99 per month where those prices apply. Prices may vary by country, currency, tax, or store. Payment is charged to your Apple App Store or Google Play account when you confirm purchase. Subscriptions renew automatically unless canceled through the applicable store at least 24 hours before the current period ends, subject to the store's rules. The store manages billing, renewal, cancellation, restoration, and refunds. Deleting Kelo or your Kelo account does not automatically cancel a store subscription. Agencies do not manage an individual caregiver's store subscription in this version.

6. Trial and paid access

Kelo currently provides eligible new caregiver accounts a 14-day service trial. Any App Store or Google Play introductory offer shown at checkout is governed by that store and may have different eligibility or billing terms. Unless the checkout screen expressly says otherwise, the Kelo service trial does not itself charge or automatically begin a paid subscription. When trial or paid access ends, caregiver features may be restricted while existing records are handled under the Privacy Policy. We may change plans, features, or prices prospectively, with any notice required by law or the applicable store.

7. Content and intellectual property

Kelo, including its software, design, trademarks, content, and documentation, is owned by the operator of Kelo Care or its licensors. Subject to these Terms and your applicable plan, we grant you a personal, limited, revocable, non-exclusive, non-transferable right to use Kelo for its intended purpose. You retain rights in content you submit. You grant Kelo the limited rights needed to host, copy, transmit, display, secure, and otherwise process that content to provide and improve the service for you and your authorized users.

8. Agency and regulated-data responsibilities

An agency controls its workspace, staff permissions, client records, retention decisions, and lawful use of Kelo. The agency is responsible for employment, professional, health-record, consent, and recordkeeping duties that apply to it. Kelo has not agreed to act as a HIPAA business associate or another regulated health-data processor unless the parties sign a separate written agreement. An organization must not enter information that legally requires such an agreement until one is in effect.

9. Family reports

An authorized caregiver or agency leader may copy care-team notes into an editable family report. They must check the content, remove anything inappropriate to share, and approve the report before it becomes visible to the family. Kelo does not independently verify or provide clinical advice about report content.

10. Feedback

If you provide product ideas or feedback, you allow Kelo to use them without restriction or payment, while we will continue to handle any personal information in the feedback under the Privacy Policy.

11. Third-party services

Kelo relies on services including Supabase, Expo, RevenueCat, Resend, Apple, and Google. Their availability and their handling of information are also subject to their terms and policies. Kelo may link to third-party services but is not responsible for content or services outside its control.

12. Suspension, termination, and deletion

You may stop using Kelo at any time and may start account deletion as described in the Privacy Policy. You must separately cancel any store subscription. We may restrict or terminate access for a material breach, security risk, unlawful activity, non-payment, legal requirement, or discontinuation of the service. Where practical, we will provide notice and a reasonable opportunity to address the issue. Terms concerning ownership, payment obligations, disclaimers, liability, disputes, and provisions that by their nature should survive will continue after termination.

13. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KELO IS PROVIDED AS IS AND AS AVAILABLE. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT KELO WILL ALWAYS BE AVAILABLE, SECURE, ACCURATE, COMPLETE, ERROR-FREE, OR SUITABLE FOR A PARTICULAR MEDICAL, CARE, EMPLOYMENT, OR BUSINESS PURPOSE. THESE DISCLAIMERS DO NOT LIMIT WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR OF KELO CARE AND ITS PERSONNEL WILL NOT BE LIABLE FOR A MEDICAL DECISION, DIAGNOSIS, TREATMENT, MEDICATION ACTION, CLINICAL OMISSION, OR MEDICAL PROCEDURE MADE, PERFORMED, OR OMITTED BY A USER OR THIRD PARTY. KELO DOES NOT CONTROL OR SUPERVISE THOSE ACTIONS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS PERSONNEL ALSO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, REPUTATION, OR CARE OPPORTUNITIES. THEIR TOTAL LIABILITY ARISING OUT OF KELO OR THESE TERMS WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID FOR KELO DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING ANY LIABILITY THAT APPLICABLE LAW EXCLUDES FROM THIS LIMITATION.

15. Indemnity

To the extent permitted by law, an agency or other organization using Kelo will defend, indemnify, and hold harmless the operator of Kelo Care and its personnel from third-party claims, losses, and reasonable expenses arising from that organization's content, unlawful or unauthorized use, breach of these Terms, or violation of another person's rights. This section does not require an individual consumer to indemnify Kelo where applicable law prohibits it.

16. Disputes and applicable law

Please contact hello@kelo-care.com first so we can try to resolve a concern informally. Unless non-waivable law requires otherwise, disputes will be governed by the law applicable to the operator of Kelo Care and heard by courts with lawful jurisdiction over that operator. Nothing in these Terms limits rights or remedies that cannot be waived under the consumer law where you live.

17. General terms

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, financing, reorganization, or sale of the service. These Terms, the Privacy Policy, and any signed organization agreement are the entire agreement concerning Kelo and control over prior discussions about the same subject.

18. Changes and contact

We may update these Terms as Kelo, store requirements, or law changes. We will post the revised version and date and provide additional notice or request renewed acceptance when required. Contact hello@kelo-care.com with questions about these Terms.
